Lawyers for Elon Musk said Friday that Twitter Inc.’s decision to pay a whistleblower $7.75 million gives the world’s richest person another justification to end his its $44 billion deal to buy the company.
In a letter to Twitter, the lawyers said Twitter’s failure to seek Musk’s consent before making payment to Peiter Zatko violated the April 25 merger agreement, which limited when Twitter could make such payments.
“This severance … cannot be cured,” and therefore Musk is under no obligation to finalize the merger, the letter states.
A copy of the letter has been filed with the United States Securities and Exchange Commission.
Twitter did not immediately respond to a request for comment.
The letter was filed after Musk filed under seal an amended countersuit, to incorporate Zatko’s allegations regarding the social media company’s security breaches.
